The company has authorized and paid up capital of ? 1lac. Do we need to increase authorized capital and paid up capital of the company or transfer existing shares to the new person SH -4 will be enough? Please advise

If yes, post consolidation, Split of Share Certificate in the denomination as requested by the Shareholder and approved by the Board can be effected ? The Ministry of Corporate Affairs (“MCA”) vide its General Circulars No.02/2022 dated May 05, 2022 read with the earlier Circulars issued on this subject allows conducting of Annual General Meeting of the Company through Video Conferencing (VC) or Other Audio Visual Means (OAVM) without the physical presence of the members.
Furthermore, the Securities and Exchange Board of India (SEBI) vide its Circular No. SEBI/HO/CFD/CMD2/CIR/P/2022/62 dated May 13, 2022 and other earlier circulars issued in this regard ('SEBI Circulars') had granted relaxation in respect of sending physical copies of the annual report to the shareholders and requirement of proxy. In compliance with the above and the relevant provisions of the Companies Act, 2013 ('the Act') and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), the AGM of the Company is being held through VC / OAVM. The Notice of the AGM along with the Annual Report for FY 2021-22 is being sent only through electronic mode to those Members whose e-mail ID that are registered with the Company / the Registrar / Depositories.
