    Please Suggest me

    In case Private Company want to do buyback of Shares upto 10% which isn't required to pass Special Resolution
    Then whether that Company requires to file SH-8( Letter of offer) or simply to prepare offer letter and attach it with SH-9 (Declaration of insolvency)

    • If  buy-back is, ten per cent or less of the total paid-up equity capital and free reserves of the company So there is no need to pass special resolution.

      such buy-back has been authorised by the Board by means of a resolution passed at its meeting.

      Company shall File to Registrar Offer letter along with decleration of solvency.

      No decleratio of solvency in form SH-9 is required to be file to SEBI , if company is unlisted.
