    Do we need to attach CS certificate while filing FCGPR in respect of subscription to MOA?

    • Yes, as per the guidelines issued by the Reserve Bank of India (RBI), it is mandatory to attach a Company Secretary (CS) certificate while filing the Foreign Currency-Gross Provisional Return (FC-GPR) form in respect of the subscription to Memorandum of Association (MOA).

      The CS certificate is required to certify that all the necessary compliances related to the issue of shares to foreign investors have been completed as per the provisions of the Foreign Exchange Management Act (FEMA), 1999, and the rules and regulations issued under it. The CS certificate should be signed by a practicing Company Secretary, who is a member of the Institute of Company Secretaries of India (ICSI).

      In addition to the CS certificate, the FC-GPR form requires various other documents to be attached, such as a copy of the Foreign Direct Investment (FDI) approval letter from the RBI, a copy of the Board resolution authorizing the issue of shares to foreign investors, a copy of the share subscription agreement, and a certificate from the Company's statutory auditor certifying the receipt of consideration in compliance with the Foreign Direct Investment (FDI) regulations.

      It is important to ensure that all the required documents are attached to the FC-GPR form before submitting it to the Authorised Dealer bank for remittance of funds. Failure to comply with the RBI guidelines related to FDI can result in penalties and other legal consequences.
