Query Pertaining To Re-Appointment Of Statutory Auditors

    Respected Members,

    I would like to request the members to kindly provide the clarification pertaining to the below mentioned query:

    If the Statutory auditors appointed in 2017 for a period of 5 years, do we have to pass the board resolution for their re-appointment into minutes of the meeting every year.

    Please clarify with the help of respective section, sub-section, rules, etc pertaining to the same.

    • According to First Provision section 139 (1) the company shall place the matter related to such appointment for ratification by memebr at every AGM. 

      Rule 3(7) Proviso: Appointment of statutory auditor shall be subject to  ratification in every AGM till the sixth Such meeting by way of passing ordinary resolution

      Befor placing matter related to ratification in an AGM Company shall pass board resolution to consider the matter related to ratification of statutory auditor and obtain eligibility certificate from the auditor under Rule 4 of Companies (Audit and Auditor) rule 2014, and thereafetr passes a ordinary resolution in AGM for Ratification.
