Can a Company apply for removal of its name from Registrar of Companies under Section 248(2) even before completion of 1 year from the date of its incorporation on the ground that:
"subscribers to the memorandum have not paid the subscription which they had undertaken to pay at the time of incorporation of a company and a declaration to this effect has not been filed within one hundred and eighty days of its incorporation under sub section (1) of section 10A"

We are in the process of closing a Section 8 Company, We understand that it needs to be converted into a Private/Public Limited Company for closure.
For that process, we require the following clarifications:
1) While converting a section 8 company to a private company for closure..can the reason for conversion be mentioned as "closure" in the explanatory statement to EGM notice?
2) Secondly, since it's for closure, what needs to be mentioned in the revised name and objects clause?

In case LLP has been incorporated on or after 1st October of financial year, then LLP can close its first financial year either on the coming or next 31st March i.e. LLP files its first financial year details for 18 months.
