    Strike off a pvt.co.

    Dear friends,
    One pvt.ltd.(ROC-Mumbai) was incorporated in June 2017, have no business from starting. They have done Annual filing for 2017-18. after that no filing, but the Directors KYC and co. KYC has been done timely. Now co. want to strike off can we apply under 248 for strike off in STK2, without doing annual filling for 2018-19 and 2019-20.Any has done for Mumbai Roc please suggest.

    • Dear Folk,

      Yes you can apply for Closure of Company on the ground that Company :

      • Has failed to commence its business operations within a period of one year from the date of its incorporation; or
      • In case when company has not been carrying on the business operations for a period of two years and has not made application for obtaining status of a dormant company within such period.

      Annual Filing is required only if company was working and in operation in that period for which filing is pending otherwise not and in many cases if ROC through provisions of section 248 (1) of the Companies Act, issued a notice intending to strike off the company (i.e. to remove the name of the company from the register of companies on the same ground that:

      • In case when company has failed to commence its business operations within a period of one year from the date of its incorporation; or
      • In case when company has not been carrying on the business operations for a period of two years and has not made application for obtaining status of a dormant company within such period.

      Then ROC Filing is must then only closure can be possible.
