Please share your views on the compliance to be done in the below case: It pertains to a private company wherein appointment of MD is not mandatory.
'A' appointed additional director in July 2017 for 3 years
Designation changed to 'director' at the AGM held in September 2017 on the same terms and conditions
Designation changed to "Managing Director' in January 2019
Retired by rotation and reappointed in AGM held in September 2019 (AOA provides all directors to retire by rotation at every AGM)
Now since the term of appointment of 'A' is completed in July 2020, we need to reappoint him. He is still the Managing Director of the company.
1) Do we need to first appoint him as director and then Managing Director?
2) When is it required to file Form DIR12?
