I have a query related to form PAS 6 to be filed for separate ISIN of unlisted public company, as preference and equity capital are registered under two separate ISINs, Just wanted to confirm that Suppose, total Issued and Paid Up capital of the company comprises of 1,50,000 shares, where,
equity capital comprises 50,000 shares and Preference capital comprises 100,000 shares, then in this case at point No. 5 of form PAS 6, issued capital will be mentioned as 50,000 for equity shares and 100000 for preference shares in two separate forms or Total Issued Capital (150000) is to be considered in both forms?
We are conducting the audit of a private limited company...
It has written off investment in other private limited company worth rs 70 Lacs..
The other company is not a subsidiary of the company for which we are conducting audit..
What provisions of the company act have to be kept in mind while doing the audit..
Was company supposed to pass any sr/or before writing that off..

This query is regarding Dematerialsation of physical share of unlisted public company as per rule Rule 9A.
The rule say that No share shall be allotted or transferred on or after October 2018 unless all the existing share of the company is dematerialized.
We suggested our Client company to demat their share but they denied to do so because they will not allot or transfer the share of the Company in future .
Whether there is any violation of law if the company do not demat their share. Please reply.

Query is as follows:
There is an increase in remuneration of Mr. _____ (WTD) for which a special resolution is passed in the AGM. As per the explanatory statement the following terms is mentioned:
Salary, Allowances and Perquisites (including benefits, facilities and amenities): Rs. 3,75,00,000 (Rupees Three Crores and Seventy Five Lakhs only) per annum, with the authority granted to the Board of Directors (hereinafter referred to as “the Board” which term shall include in Committee of Directors) to determine the remuneration including inter-se breakup thereof and grant increases from time to time not exceeding 20% per annum but subject to shareholders’ approval in the General Meeting.
Can the above clause be altered in such a way that if the shareholders approve for increase of 20% p.a in this AGM, the shareholders approval would not be required in the next AGM if the remuneration to be paid is increased from 3.75 Cr to say 4 Cr?
Please help in this matter and guide accordingly.

2- investment in startup
3- employee welfare fund like PF, Gratuity others if any (may be trust)
4- IBC
5- Joint venture in future
6- To become partner or member in partnership or LLP in future.

has anybody out here done the buy back process for the unlisted Public limited Company who had its Shares Dematerialised?
need some assistance please. also will be thankful if anybody provides with the drafts of the documents normally required for the buyback of such Shares for reference.
