The Company is going to transact some business at AGM for which Postal Ballot also mandatory.
Whether it is compulsory to Prepare separate notice and Separate E-voting for same.
Because E-voting intermediary says we need to create separate event for e-voting and company also need to prepare separate Notice for Postal business transaction and other Transaction at AGM.
Dear Members,
under the following provision of the CA Act 2013,
110. (1) Notwithstanding anything contained in this Act, a company—
(a) shall, in respect of such items of business as the Central Government may, by notification, declare to be transacted only by means of postal ballot; and
(b) may, in respect of any item of business, other than ordinary business and any business in respect of which directors or auditors have a right to be heard at any meeting, transact by means of postal ballot,
in such manner as may be prescribed, instead of transacting such business at a general meeting.
What type of items covered under "in respect of which directors or auditors have a right to be heard at any meeting"? covered in the sec 110(1)(b)

Can a company pass resolutions one by postal ballot(ESOp) and one by calling EGM ( for private equity) simultaneously as management is not interested in passing the esop resolution through EGM.
