As per Section 96 (2), every annual general meeting shall be called during
business hours, that is, between 9 a.m. and 6 p.m. on any day that is not a
National Holiday and shall be held either at the registered office of the
company or at some other place within the city, town or village in which the registered office of the company is situate.
However, in case of the EGM, there is no clarity under Section 100 /101 and
rule 17 with regard to the time, day, place of holding the EGM?

Companies Amendment Act 2019 was notified on 31st July 2019.
MCA has issued draft CSR amendment rules 2020. It was issued in the month March 2020. The draft rules is yet to be notified.
Whether to implement amendment Act 2019 or to wait for the amendment rules to get notified?

If a company spends in excess of 2% of its average net profit of three preceding years on CSR in a particular year, can the excess amount spent be carried forward to the next year and be offset against the required 2% CSR expenditure of the next year?
