Whether the matter of labour disputes having criminal aspects be dealt in Labour Courts or Criminal Courts ?

Whether an entity who is not a party to the Arbitration Agreement refer the dispute for Arbitration ?
Due to lack of Rent contract agreement with the Lessee the disputed Amount of rent was offered as Income in the Previous years 2yrs. However no invoice was raised for it.
Query :
are we liable to pay gst for the previous 2 yrs.
Can we avoid offering it as accrued income in the current year on the grounds that the amount is disputed and no contractual agreement is signed.

Kindly provide me the draft Undertaking Agreement or MOU signed between two Directors of a Private Limited Company in order to avoid any future dispute in respect of any movable or immovable property as well as sharing of profits in terms of remuneration etc.
