    • As per the Companies (Prospectus and Allotment of Securities) Rules, 2014, a Practicing Company Secretary (PCS) is required to certify Form PAS-6 before filing it with the Ministry of Corporate Affairs (MCA). Form PAS-6 is a form that is required to be filed by every unlisted public company after the allotment of securities, with details of securities allotted.

      In order to certify Form PAS-6, a PCS can rely on the following documents, forms, and details:

      1. Board resolution for allotment of securities: A PCS can rely on the board resolution passed by the company for the allotment of securities. The resolution should contain the details of the securities allotted, including the number and type of securities, the consideration received, and the names of the allottees.

      2. Share certificate: A PCS can rely on the share certificate issued to the allottees as proof of allotment of securities.

      3. Register of members: A PCS can refer to the register of members maintained by the company to verify the details of the allottees.

      4. Form PAS-3: A PCS can rely on Form PAS-3, which is the return of allotment of securities, filed by the company within 30 days of allotment, as it contains details of the securities allotted.

      5. Bank statement: A PCS can also rely on the bank statement of the company to verify the receipt of consideration for the securities allotted.

      6. Other relevant documents: A PCS can also refer to any other relevant documents, such as the subscription agreement, share purchase agreement, or any other agreements entered into by the company for the allotment of securities.
