i. Compulsorily Convertible Debentures (CCD) and
ii. Optionally Convertible Debentures (OCD)
can be issued by the Company??

A pvt limited company had issued CCDs to one of its group companies. The CCDs are being transferred to holding company of the private company.
Please confirm if approved of shareholders is also required for conversion though initially approval of shareholders was taken under 1956 act.

Could someone please provide checklist for issuing 0% compulsorily convertible debentures (CCDs) to a private limited company's holding company based in Singapore?
Any help would be much appreciated.
Dear Members, Just wanted to confirm if a Private Limited Company will need to comply with the provisions of Private Placement to issue CCDs to a few identified investors.
