Dear Members,
There is a casual vacancy for a Statutory Auditor in a Private Company. The Board of Directors wants to pass a resolution through Circular Resolution.
As per Section 179(3) read with rule 8 of Companies (Meeting of Board and its Powers) Rules, 2014; which provides matters to be discussed only through Board Meeting, nothing relating to the resignation of Statutory Auditor is mentioned.
Also, there are some matters restricted as per section 175 of the Companies Act, 2013 as mentioned in some sites but we are unable to find reference to same under the law.
Please let us know whether the casual vacancy of the Statutory Auditor can be noted by the Board of Directors through circular resolution?
Dear Members,
Is it any non compliance in the Companies Act on the part of the company if co. attach the Circular Resolution in DIR 12 for taking note on resignation of the Managing Director.
or we have only one way to file DIR 12 with Certified True Copy of Resolution.

The late fees have been waived off for forms having due date from 01/04/2021 to 31/05/2021 but it shows late fees when I am uploading form NDH-3 whose half-year ended on 31/03/2021. Has this circular come into effect.

Circular 6 was a very general circular. So all forms (except those mentioned in Circular 7) which were due from 01.04.2021 to 31.05.2021 were covered. Now suddenly this new list is limiting the relaxation to very few forms.
Why is there a need for a list of forms today when they have already issued a general circular a few days ago??
