A company with a share capital of Rs.1 lakhs is having a reserve of Rs.10 Lakhs as on 31.3.2018. For the financial year ended 31.03.2019, the company has incurred a loss of Rs.50,000/-. The company does not have any activity during the year and would like to close the business. Before closing the business, the company has to disburse the sum of Rs.10 lakhs as dividend. Is there any restriction regarding the declaration and payment of dividend? This is the first year of dividend declaration.

now the company wants to open the dividend account but the problem is, co is having CC (cash credit account) with banks and the RBI circular says if you have cc account you cant open any other account with bank or any other bank whatsoever...

The question is that whether dividend given to Preference Shareholders is required to be taken at AGM/EGM when the Company intents to pay the same.
Nature of Preference shares is cumulative in nature. Is resolution passed in board meeting will not be sufficient enough as far as compliance is concerned ?
Because dividend entitlement is already given to Preference Shareholders at the time of issue of shares.

my company wants to declare interim dividend during end of this may .
1st of all i should consider this an interim dividend for FY 2019-20,
2nd shall there be DDT applicable on the same ?! as it is being declared now that "W.e.f., Assessment Year 2021-22, the domestic company isn’t required to pay dividend distribution tax on any amount declared, distributed or paid by such company by way of dividend."
does this mean that interim dividend declared for FY 2019-20 in may 2020 should not be treated as dividend for FY 2019-20 but instead dividend declared and paid in FY 2020-21 and DDT becomes not applicable. and should i take this dividend up in AGM for FY 2019-20 or FY 2020-21 as final dividend..
