Circular No. P-11/14/19/Misc/02/2022-Rev. II Dated 21/11/2022, the ESIC has provided that the new companies registered on or after 15.02.2020, shall comply with the provisions of the ESI Act, 1948 only when they reach the threshold limit of employment under the ESI Act. In case, the companies registered through the MCA portal are found not coverable as per the statutory provisions of the ESI Act, they are not required to do compliances for the next 6 months or till they reach the threshold ESIC coverage, whichever is earlier.
Dormant Status: If the company does not reach the threshold in 6 months, it has to login on to the ESIC portal to further extend the “dormant” status. In case, it does not extend the same, the registration will get activated and the company has to start doing compliances under the ESI Act. In case, compliances are not done, actions under the existing provisions of the ESI Act may be taken against the defaulting units.

I need advice on a serious issue. One of my clients, a pvt. Ltd. company incorporated in Aug 2019 has failed to file its audit report for FY 2019-20. Their previous auditor has just filed the ITR of PY. In the current year also they have not yet filed the ITR and the audit report.
The company has not had any business for more than 1 year. Can it go for a strike off.
They have the following non-accomplices:
1. DIN is deactivated
2. AOC-4 and MGT-7 not filed for FY 2019-20 and FY 2020-2021
3. ITR not filed for FY 2020-21
4. No audit report for FY 2019-20 and 2020-21
Please advise if they can proceed for strike off by presenting a nil statement of assets and liabilities.
They are highly aggrieved. What can be the best course of action for them.

I was thinking of applying for dormant status to avoid late fee and then apply for reactivation. This way late fee can be avoided.
1.Company does not have turnover since last two years and
2.has not filed annual returns since last two years.
Can anyone comment whether it is passoble to do so? any problems when reactivating ?
