    “Zero Filing Fee” is applicable on which Companies for getting incorporated through SPICe+?

    • Hi Ruchi Below are the documents required to incorporate a Public Limited Company 1. Aadhar & PAN of the Proposed Directors and Shareholders. 2. Email ID & Contact Details of the Proposed Directors and Shareholders. 3. Educational Qualification, Occupation and Place of Birth of the Proposed Directors and Shareholders. 4. Passport Size Photograph of the proposed Directors and Shareholders. 5. Permanent Address Proof of the proposed Directors and Shareholders (Aadhar/ Voter ID/ DL). 6. Present Address Proof of the proposed Directors and Shareholders (Electricity/ Telephone/ Gas Bill). 7. Registered Office Address Proof (Electricity/ Telephone/ Gas Bill). 8. Additionally, Rent Agreement in case of rented property. 9. Authorized and Paid up Share Capital of the Company. 10. Main Objects of the Company.

    • As per the Companies (Registration Offices and Fees) Amendment Rules, 2021, "Zero Filing Fee" is applicable to the following companies for getting incorporated through SPICe :

      1. Companies with authorised capital up to Rs. 15 lakhs and having a maximum of 10 subscribers.

      2. Companies with more than 10 subscribers or authorised capital of more than Rs. 15 lakhs are not eligible for "Zero Filing Fee" and are required to pay the prescribed filing fee as per the Companies (Registration Offices and Fees) Rules, 2014.

      Please note that the above information is based on the current provisions and is subject to change as per any future amendments in the Companies Act and rules.

    • The Ministry of Corporate Affairs (MCA) has introduced a scheme of "Zero Filing Fee" for companies that get incorporated through the SPICe (Simplified Proforma for Incorporating Company Electronically Plus) web form.

      Under this scheme, the filing fee for incorporation is waived off for companies having a nominal share capital up to Rs. 15,00,000 or having no share capital, and in cases where the registered office of the company is located in any one of the following states or Union Territories:

      • Uttar Pradesh
      • Delhi
      • Maharashtra
      • Haryana
      • Punjab
      • Uttarakhand
      • Rajasthan
      • Goa
      • Chandigarh
      • Lakshadweep

      However, it is important to note that even if a company is eligible for "Zero Filing Fee", it still needs to pay stamp duty and other fees to the concerned state government at the time of incorporation.

    • The Companies getting incorporated through SPICe with an Authorized Capital up to INR 15,00,000 would continue to enjoy ‘Zero Filing Fee’ concession. Such companies will be levied with only stamp duty fees as may be applicable on state to state basis.
