    FC-GPR Resubmission

    Dear Members,

    There is a small doubt, for filing Form FCGPR - can we use the valuation certificate issued by a Registered Valuer? Please advice. I got a re-submission saying that it is not allowed.

    • As per the FEMA (Transfer or Issue of Security by a Person Resident Outside India) Regulations, 2017, for the purpose of reporting the receipt of funds in the form of share application money or share purchase consideration, the Form FCGPR has to be filed with the RBI.

      In the case of share issuance, the price of shares has to be determined as per the guidelines issued by the RBI. As per the RBI guidelines, for the purpose of determining the fair value of shares, the valuation has to be done by a Chartered Accountant or a Merchant Banker registered with the Securities and Exchange Board of India (SEBI).

      Therefore, it is not sufficient to have a valuation certificate from a Registered Valuer for the purpose of filing Form FCGPR. The valuation has to be done by a Chartered Accountant or a Merchant Banker registered with SEBI.
