    Re submission on Pvt Ltd instead of Private Limited

    I received a resubmission on using the word PVT LTD in Letterhead instead of Private Limited Stating the Violation of Section 4 of Companies Act 2013.

    • Section 4 of the Companies Act 2013 specifies the meaning of 'private company'. It states that a company having a minimum paid-up share capital as may be prescribed, and which by its articles, restricts the right to transfer its shares; except in the case of One Person Company, limits the number of its members to two hundred, and prohibits any invitation to the public to subscribe for any securities of the company.

      Therefore, using the abbreviation "PVT LTD" instead of "Private Limited" on the letterhead could be considered a violation of this section as it does not convey the full and correct name of the company as per its articles and as per the Companies Act. Rule 10 of the Companies (Incorporation) Rules, 2014 also specifies that the name of a company shall be mentioned in legible letters and shall be easy to read and write.

      As per Section 12(3) of the Companies Act, 2013, a company's name must end with the words "Limited" in the case of a public limited company and "Private Limited" in the case of a private limited company.

      As per Rule 8(4) of the Companies (Incorporation) Rules, 2014, the name of the company shall be mentioned in legible letters and shall be easily readable. The letterhead of a company is an important document that represents the company's identity, and it must comply with the requirements of the Companies Act, 2013.

      Using "PVT LTD" instead of "Private Limited" on the company's letterhead is a violation of Section 4 of the Companies Act, 2013, as it does not comply with the requirement of Section 12(3) and Rule 8(4) of the Companies (Incorporation) Rules, 2014.

      Therefore, to comply with the requirements of the Companies Act, 2013, it is recommended that you make the necessary changes to the company's letterhead and use "Private Limited" instead of "PVT LTD".
