    How to determine the place that is within local limit or outside local

    • Section 12 and Section 13 of the Companies Act, 2013, deal with the change of registered office of a company. The criteria to determine the place of change for the purpose of Section 12 and Section 13 are as follows:

      1. Change of registered office within local limits: If the company intends to change its registered office from one place to another place within the same city, town or village or within the jurisdiction of the same ROC (Registrar of Companies), then the approval of the Board of Directors (BOD) is sufficient under Section 12 of the Companies Act, 2013.

      2. Change of registered office outside local limits but within the same state: If the company intends to change its registered office from one state to another state but within the same ROC, then the approval of the BOD and shareholders is required under Section 13 of the Companies Act, 2013.

      3. Change of registered office outside local limits and outside the state: If the company intends to change its registered office from one state to another state and the new registered office is outside the jurisdiction of the current ROC, then the approval of the BOD, shareholders, and the respective ROCs is required under Section 13 of the Companies Act, 2013.

      In summary, if the change of registered office is within the same city, town or village or within the jurisdiction of the same ROC, only the approval of the BOD is required. However, if the change of registered office is outside the local limits or outside the state, then the approval of both the BOD and shareholders is required, and in the case of a change of registered office outside the jurisdiction of the current ROC, the approval of the respective ROCs is also required.

      But how to check the place is within local or not with the cahnge of address with pincode within same city ?

      To determine whether the change of registered office address is within the local limits or not, you can follow the below steps:

      1. Check the Pincode: Check the Pincode of the new registered office address and the old registered office address.

      2. Check the Jurisdiction: Check the jurisdiction of the ROC (Registrar of Companies) in which the company is registered. You can find the ROC jurisdiction by checking the Certificate of Incorporation of the company.

      3. Check the Local Limits: Check whether the new registered office address falls within the local limits or outside the local limits of the city, town, or village in which the old registered office address is located.

      If the new registered office address is within the local limits of the same city, town, or village or within the jurisdiction of the same ROC, then the change of address can be approved by the Board of Directors (BOD) under Section 12 of the Companies Act, 2013.

      However, if the new registered office address is outside the local limits of the same city, town, or village or outside the jurisdiction of the same ROC, then the change of address can be approved only with the approval of both BOD and shareholders under Section 13 of the Companies Act, 2013.

      In summary, you can determine whether the new registered office address is within local limits or outside local limits by checking the Pincode of the new and old registered office address, the jurisdiction of the ROC, and whether the new address is located within the same city, town, or village or outside it.

      To check whether the new registered office address is within the local limit or outside the local limit with the help of the Pincode, you can follow these steps:

      1. Find out the Pincode of the old and new registered office addresses.

      2. Check the jurisdiction of the ROC (Registrar of Companies) in which the company is registered. You can find the ROC jurisdiction by checking the Certificate of Incorporation of the company.

      3. Check the Pincode range of the local area of the city, town, or village within the jurisdiction of the same ROC. This information can be obtained from the concerned ROC office or on their website.

      4. Compare the Pincode of the new registered office address with the Pincode range of the local area to see whether it falls within or outside the local limit.

      5. If the new registered office address falls within the Pincode range of the local area, then it is within the local limit. If the new registered office address falls outside the Pincode range of the local area, then it is outside the local limit.

      Further, 

      To check the Pincode range of the local area of the city, town, or village within the jurisdiction of the same ROC, you can follow these steps:

      1. Visit the website of the Ministry of Corporate Affairs (MCA) at http://www.mca.gov.in.

      2. Click on the "ROC Master Data" tab on the top menu and then select "Jurisdiction and Contact Details."

      3. Select the state in which the company is registered.

      4. Select the ROC (Registrar of Companies) in which the company is registered.

      5. You will find the Pincode range of the local area within the jurisdiction of the same ROC.

      Alternatively, you can visit the concerned ROC office and ask for the Pincode range of the local area within the jurisdiction of the same ROC.

      Once you have the Pincode range of the local area, you can compare it with the Pincode of the new registered office address to determine whether it falls within or outside the local limit.

      In summary, you can obtain the Pincode range of the local area within the jurisdiction of the same ROC by visiting the MCA website or by visiting the concerned ROC office.
