As per SS-1, the minutes should be circulated within 15 days from the date of the conclusion of the meeting of the board and the directors communicates their comments within 7 days from the date of circulation of minutes.
A director name Ram communicates their comments after expiry of 7 days , the chairman is decided not to consider his comments. can he do so ?

Regulation 9 ,requires a listed entity to frame a policy for preservation of documents approved by its board of directors, classifying them into the documents that can be preserved permanently or can be preserved for a period of not less than eight years after completion of the relevant transactions. What types of documents are covered under this regulation??

If the holding of any shareholder remains the same but the percentage of

Directors are free to give their comments on the minutes within 7 days from the date of circulation and chairman shall consider the same.
However, where the comments of the director have been received after a period of 7 days from the date of circulation, it shall be the discretion of the chairman to consider such comments/observations.
Hence, in your case, the chairman can do so.
