Can a wholly owned subsidiary Company of a listed company can enter into Joint venture with any other individual or a company only on basis of Board approval or it need shareholders approval also.

If a person hold shares in a Company in a single name in physical form and want to add one more person as joint holder of the shares. What is the procedure for the same? I think only share transfer deed to be given. Also my question is how much value of consideration to be filled as there is no consideration involved. Share transfer stamp duty is also to be paid as per fair value of shares.

In case of allotment to joint shareholders, Whether application money should be received from both shareholder or application money received from the first person is sufficient.
FACT OF THE CASE
ABC, a partnership firm holds 10,000 equity shares of XYZ Private Limited (incorporated in 2015), through its 5 partners equally. Each partner was allotted with a separate Folio no. but the Company considered to count them as a single shareholder. Thereafter in Feb, 2016 the Company has allotted further shares to only 4 partners in an equal ratio and in Sept, 2016 the shares of 2 partners has been transferred/ transmitted to rest of the 3 partners.
As on date there are 5 partners in ABC, a partnership firm and only 3 partners are holding shares in a XYZ Private Limited in equal ratio.
Please note that the company has filed all upto date Annual Financial Statements and Annual return with the shareholding pattern which looks like A, B,C, A (through partnership firm), B(through partnership firm), C (through partnership firm) having different folio numbers.
QUERIES
Can each partner have different folio nos. and if yes, how many votes will be casted by ABC, a partnership firm.?
Can we allot shares to particular partner.?
Do we need to file MGT-6 in this regard.?
Who will sign the declaration on behalf of Beneficial Owner.?
If we merge all the folio numbers of Partnership firm to one folio number say Joint Shareholders, do we need to go to NCLT?
If a unlisted public wants to enter into joint ventures relating to electric vehicle company or pharma company, what is the procedure.
In case they do, how the turnover will get reflected in the infra company ?

The assessee is a partnership firm engaged in construction activity. In has purchased land during the year 2006-07, and has started construction in 2012 and has done work to the extent of Rs. 50,00,000. Later on due to funds scarcity, it has entered into a development agreement with other company for the construction of flats in 2014. Construction was completed in the year 2018 and land owner has received his share of flats and started selling its share. How to treat the same in the books of landowner who is engaged in same business. Whether to calculate capital gains or business income. Kindly explain.
