Dear professional colleagues,
A real estate company has ideal funds. As it is not getting suitable projects it want to make investment in stocks and precious metals like gold etc. It's MOA is also had an objective relating making such investment also.
Now my query is whether any other registration is required to be taken from RBI or from any other authority. Any other provisions applicable to this?
has any one applied and got relief of compounding?

I see that even not filing annual return can allow Officials to levy 50000 penalty . what should we do if they levey 50k for one day delay of Annual return
also like not appointing auditor in 30 /90 days can attract 5 lakhs penalty..

As per the circular from MCA ,
Significant beneficial ownership is defined as :-
"significant beneficial owner” means an individual referred to in sub-section (1) of section 90 (holding ultimate
beneficial interest of not less than ten per cent.) read with sub-section (10) of section 89, but whose name is not
entered in the register of members of a company as the holder of such shares"
Now the question is if any natural person holds 10% share of the company then he shall be regarded as beneficial owner or not?
(as the definition says SBO are those who have 10% or more interest in company and whose name is not mentioned in the register of member of the company.
