Hey dear,
In the form you will find interpretation, in that section you will have to add the defination of private company and OPC
I am trying to attach the screenshot/printscreen but this website is showing some error.
the defination will be insirted like :-
(1) In these regulations --
(a) “the Act” means the Companies Act, 2013,
(b) “the seal” means the common seal of the company.
(2) Unless the context otherwise requires, words or expressions contained in these regulations shall bear the same meaning as in the Act or any statutory modification thereof in force at the date at which these regulations become binding on the company.
(3)" Private Company "means a Company having a minimum paid up share capital as may be prescribed and which by its articles-
(i) restricts the right to transfer its shares;
(ii) except in case of One Person Company , limit the number of its member to two hundred:
Provided that where two or more persons hold one or more shares in a company jointly, they shall for the purpose of this clause", be treated as a single member:
Provided further that -
(a) Persons who are in the employment of the Company: and
(b) Persons, who having been formerly in the employment of the Company , were members of the Company while in that employment and have continued to be members after the employment ceased,
shall not be included in the number of members; and
(iii)prohibits any invitation to the public to subscribe for any securities of the Company;
Then add defination of OPC
Hope it helps
