NRE Certificate format required for filing on FIRMS (RBI)
Hello Everyone
What is required to be done if one has physical certificates with the same combination of names, but the sequence of names is different i.e. some certificates with ‘A’ as first holder and ‘B’ as second holder and other set of certificates with ‘B’ as first holder and ‘A’ as the second holder?

In the case of a private placement which is also a downstream investment as per FEMA. We have taken valuation from Regd. Valuer + CA which is 5 months old... shareholders approved the private placement basis of this valuation and the same is filed with ROC.
In RBI filing the said valuation report being old than 90 days we may expect rejection from RBI and in such case, we may take another valuation with the current date only for filing purposes.
Please let me know if there is anything wrong with this practice. In my view, we don't need to link the valuation requirements of both laws. And can have separate valuations filed with different authorities. Please advise.
How to get the RERA Closure Certificate
The stamp duty on Share Certificates on SHCIL website is still getting calculated at 0.1% wherein it has already reduced to 0.005% from July, 2020.
Does anyone have a solution for this? Or if you have got the final challan from authority, was it at reduced stamp duty or previous one only?
Dear member,
A company has been incorporated but subscriber have not paid subscription money. Is it mandatory for the company to issue share certificate within 2 months?
Dear Members
Where the shares are held in physical form, can the company issue
duplicate share certificates in the name of the shareholder and then get
it transferred to IEPF or is it possible for the company to straight away
issue the share certificates in the name of IEPF and get it dematerialized
and transferred to the Authority?
Also, how can the company issue new duplicate share certificates
without complying with the necessary formalities for the issue of duplicate share certificates and without canceling the original share certificate lying with the shareholders?
Form SH-1, i.e., the prescribed format for a share certificate, does
not include memoranda of transfer. However, the memorandum of transfer was an integral part of the share certificate under the Companies
Act, 1956.
In the absence of such memoranda in the prescribed format, can a
company issue share certificates with said memoranda as additional
information, or is the following of the format "as it is", strictly
mandatory?
