    Dear Members

    Whether the appointment of Auditor is mandatorily taken on note every year in AGM and Board meeting held in respect of such AGM as of now the concept of ratification of Auditor in AGM is omitted ?

    And what could be the alternative means of complying the provision of ordinary business of appointment of auditor ?

      Companies(Amendment Act), 2017  omitted the following text from section 139

      Provided that the company shall place the matter relating to such appointment for ratification by members at every annual general meeting:

      after this change, no company is required to ratify the appointment of an auditor in every AGM till his expiry of tenure.

       

      Now if the auditor is to be appointed then  only matter is to be considered in AGM and BM related to it as ordinary business. Otherwise, there is no need to consider the matter.

      as the law itself is silent regarding considering such matter of taking into note in  AGM,
