As per Second Proviso to Section 135 of the Companies Act, 2013: if the company fails to spend such amount (As liable u/s 135 and Schedule VII), the Board shall, in its report made under clause (o) of sub-section (3) of section 134, specify the reasons for not spending the amount.
Hence, if Board fails to disclose such matter in their Report then every Director/Officer in default will be deemed of contravening the Provisions of Section 134; and if Company fails to comply with Section 135 then (As there is No Specified Punishment for this particular section) General Punishment under Section 447 or under other sections may apply.
