If a Director is attending a meeting through video conferencing, then how will he sign the attendance register and how to mention this in the minutes that attendance register has been signed?

We have filed the form, for cessation of Director due to non availability and not attended any Board Meeting from 12 months.
We have attached in the form DIR-12: 1) Extract of Minutes of the meeting for cessation, 2)proof of sending notice of Board Meeting to Director
But ROC is asking for necessary proof of evidence of cessation.
Is it Required ?
With reference to Section 146 of the Companies Act, 2013 an Auditor is required to Attend General meetings of the company unless otherwise "exempted by the company," therefore:
What is the process and can be reasons for the Auditor who can ask for an exemption in attending the General meeting of the company?
More, Whether the company is required to pass a resolution,.Ordinary/Special for granting this exemption or the board is authorized to provide this exemption.
Because here the word used "exempted by the company," so what we can consider? If anyone has an explanation on this please assist in better understanding.

Sir, I had posted query as to whether RCM is applicable for payments made for attending patients by a Private Ltd. Hospital to a Director who is also a director of that Company. For this I received a reply in our forum that it is applicable. But GST practitioners in other forums say that the service being Health service provided by the said doctor RCM is not applicable. Kindly explain as many hospitals would be impacted if the RCM is applicable.

What should be the place of Board Meeting where Chairman attends via Videoconferencing? Should it be where Chairman is or should it be where the majority Directors are physically present?
Also, if Chairman is attending through Video Conferencing, should the physically present Directors elect a new Chairman for that meeting from amongst themselves?
Is it compulsory for Company Secretary to attend all Board, Committee and General Meetings?

Please suggest whether a Foreign National (Individual) can give POA to any individual to attend AGM in India and whether his presence count for quorum.
