1. AOC-4: You should file AOC-4 with the unaudited financial statements by the original due date of AGM. If the financials are approved during the adjourned AGM, you will need to file an updated AOC-4 with the audited financial statements within 30 days from the date of the adjourned AGM.
2. MGT-7: Similarly, you should file MGT-7 by the original due date of AGM. If the financials are approved during the adjourned AGM, you will need to file an updated MGT-7 with the approved financials within 60 days from the date of the adjourned AGM.
The key point to remember is that even if the financials are approved during the adjourned AGM, you should still file the initial AOC-4 and MGT-7 with the unaudited financials by the original due date. In case Agm is adjourned for non finalization of Accounts...later in the adjourned agm the accounts is approved
Now in such case what will be the date of agm for AOC 4 and MGT 7
A Private Limited Company convened AGM on 30th December 2020 after duly circulating Annual Report containing AGM Notice, Directors Report and Balance sheet [ Not signed by Auditor} with Annexures. The AGM has not adopted Financial Statements that were not signed by Auditor. Hence AGM adjourned sine die. Company received Auditor's signed report as well as Financial Statements in March 2021. The adjourned AGM was held on 30th March 2021.Please enlighten me on:
1. Whether the provisional Financial Statements as placed before the original AGM are required to be filed by the Company in Form AOC4 + Annual Return in Form MGT7
2. Whether it is sufficient ( without filing provisional Financial Statement ) if the Company can directly file the Auditor signed Financial Statements together with Form AOC4 and Form MGT7 within stipulated time from the date of adjourned AGM.

Can any one help in my query?
The company has hold AGM on 30.09.2019 for FY 2018-2019 in which few agenda were adopted and financials statements were not adopted. The said AGM was adjourned and was held in Feb 2020 in which Financials was adopted by the members.
My questioned is that while filing Form MGT-7 for 2019-2020, which date is to be recorded in members meeting list as it ask for during year number of members meeting along with type and percentage of holding.
As AGM is Adjourned which date to be recorded original AGM date or Adjourned AGM?
As per section 116 of Companies Act, 2013 is as follow
Resolutions Passed at Adjourned Meeting.
116. Where a resolution is passed at an adjourned meeting of—
(a) a company; or
(b) the holders of any class of shares in a company; or
(c) the Board of Directors of a company,
the resolution shall, for all purposes, be treated as having been passed on the date on which it was in fact passed, and shall not be deemed to have been passed on any earlier date.

A company held its AGM on 31.09.2019 but on that day accounts was not finalised so the AGM adjourned till 14.10.2019.
Can it be done as per Companies Act, 2013.

if a meeting of board of directors is adjourned and an auditor[third party] gives a certificate dated adjourned meeting will this be wrong in eye of law or is there any mechanism which specifies when to sign any documents in case of adjourned board meeting .
