    One director resigned from a PVT LTD company and now there is only one Director left, what if he fails to appoint a new director within 6 months, will his resignation be invalid?

    • Hi Member,

      Pursuant to Section 161(4), if the office of any director appointed by the company in general meeting is vacated before his term of office expires in the normal course, the resulting casual vacancy may, in default of and subject to any regulations in the articles of the company, be filled by the Board of Directors at a meeting of the Board which shall be subsequently approved by members in the immediate next general meeting.

      In our case, One director resigned from a PVT LTD company and now there is only one Director left, it is the duty of remaining director to appoint an additional director in immediate next Board meeting to fulfill the statutary requirement of minimum number of Directors in Private ltd Company. However, any person so appointed shall hold office only up to the date up to which the director in whose place he is appointed would have held office if it had not been vacated.

      Where the remaining director fails to appoint an additional director in Board meeting, it may attract the penal provisions of Section 172 of Companies Act, 2013.

      In my opinion, The resignation shall not said to be invalid where the resignation is done following the relevant provisions of the act.
