A listed company is proposing to issue and offer share warrants to the Promoter group on a preferential allotment basis. As per the provisions of the Companies Act, 2013, the proposed item is required to be passed by way of special resolution. Whether shareholders belonging to ‘Promoter Group’ to whom share warrants shall be issued can vote in the special resolution?
If not, can the promoter shareholders other than those to whom share
warrants shall be offered can vote in the said special resolution?

Hi,
If a company is having 2 shareholder i.e 1 individual & 1 Body Corporate.
Now this Body Corporate wants to appoint its representative Director.
Wanted to know can I designate him as a Promoter Non executive director?
Or I can appoint him in individual Capacity also as Promoter Non executive director though he is not having any shareholding but is nominee for said Body corporate.

Can a Promoter (not a director) sign a board resolution to open a bank account?
We have opened a Pvt Limited company, in order to open a bank account banker asked to submit a board resolution signed by 2 directors
Here the problem is myself and my friend were directors(only 2 members) and my friend was in abroad,
Does the bank accept resolution with my single signature or can a shareholder sign resolution along with me? or any other alternatives
