    • As per the Companies Act 2013, a Company Secretary (CS) is required to attend all Board meetings, Committee meetings, and General meetings of the company, unless exempted by the Board. The CS plays a crucial role in ensuring compliance with various laws and regulations, maintaining proper records and minutes of meetings, and providing guidance to the Board on various matters.

Specifically, the Companies Act 2013 mandates the presence of a CS at the following meetings:

      1. Board meetings: Section 173 of the Companies Act 2013 requires the presence of the CS at all meetings of the Board of Directors of the company. The CS is responsible for maintaining proper records and minutes of the meetings and ensuring compliance with applicable laws and regulations.

      2. Committee meetings: The CS is also required to attend meetings of various committees of the Board, such as the Audit Committee, Nomination and Remuneration Committee, etc. The CS provides guidance and support to the committees on various matters and ensures compliance with relevant laws and regulations.

      3. General meetings: Section 108 of the Companies Act 2013 requires the presence of the CS at all General meetings of the company. The CS plays an important role in ensuring compliance with various procedural requirements and providing guidance to the Board and shareholders on matters related to the company.

However, it is important to note that the Board may exempt the CS from attending certain meetings based on the specific circumstances and requirements of the company.
